HVG advises Hoyer, Bertschi and Hupac on the acquisition of a part of the shares in RSC Rotterdam.

Description
HVG has assisted Hoyer, Bertschi and Hupac with the acquisition of a part of their joint venture participation in the rail terminal RSC Rotterdam. Hoyer, Bertschi and Hupac together with DB Schenker Rail (a subsidiary of Deutsche Bahn) hold 100% of the shares in RSC Rotterdam. This transaction aims to position the terminal broader and more decisive in the market. Also with the new shareholders structure, RSC will continue to operate as a neutral terminal. HVG has had close consultation with the Port of Rotterdam for the realisation of the transaction.

HVG and EY advise De Nijman Holding B.V. on the acquisition of Esbro Beheer B.V. by PWH Gruppe.

Description
The strategic reinforcement of Esbro Beheer B.V. and Paul Wesjohann & Co. GmbH III’s joint activities on the Dutch market has been realized with the acquisition of Esbro Beheer B.V. PWH Gruppe has acquired a majority interest in Esbro Beheer B.V., situated in Doetinchem and reinforces its market position in the poultry slaughtering and processing branch. With the sale De Nijman Holding B.V. achieves its growth and continuity targets for Esbro and at the same time it fits perfectly in the strategy of the PHW Gruppe, of which Paul Wesjohann is a part.

HVG assisted Remondis on the acquisition of collecting activities of commercial waste of Twente Milieu NV.

Description
In the context of the Act Market and Government (‘Wet Markt en Overheid’) Twente Milieu NV, which has municipalities as shareholders, has sold her collecting activities of commercial waste to Remondis Nederland BV. Those activities strengthen the position of Remondis in the eastern part of the Netherlands.

Schouten Zekerheid Makelaars in Assurantiën B.V. and minority shareholders sell a majority stake in participation Schouten Sicherheit International GmbH to Howden Broking Group (subsidiary of Hyperion)

Description
HVG and Orrick have assisted Schouten Zekerheid Makelaars in Assurantiën B.V. and the minority shareholders in the sale of a majority stake in participation Schouten Sicherheit International GmbH to Howden Broking Group (subsidiary of Hyperion). Schouten Zekerheid Makelaars in Assurantiën B.V., as an insurance broker, is in the business of (advise in respect to) insuring, administration and the settlement of damages with a focus on business continuity, compliance, mobility, personnel, pension and financial risks. Its former participation Schouten Sicherheit International GmbH, as an insurance broker, is active in the areas of sports, specific risks, film and television, entertainment, real estate and industry and commerce and has five branches in Germany. With the acquisition of a majority stake in Schouten Sicherheit International GmbH Howden Broking Group increases its presence in the German market, it doubles the size of the German segment to more than 150 employees and revenues exceeding EUR 40 million. The acquisition enables Schouten Sicherheit International GmbH to expand its international presence and services to benefit clients.

HVG and EY assist PartsPoint in the acquisition of wholesalers Staadegaard Automotive and Technische Centrale.

Description
AutoBinck Holding B.V is the parent company of PartsPoint. PartsPoint on its turn is the parent company of chain wholesaler Brezan Automaterialen. PartPoint and its subsidiaries’ businesses consist of importing, distributing, selling and promoting automobile parts and accessories on the aftermarket. By the acquisition of Staadegaard Automotive en Technische Centrale, PartsPoint will enlarge its retail sales capacity from 110 million euro to 175 million euro. With the acquisition of Staadegaard Automotive en Technische Centrale, Staadegaard Automotive and Technische Centrale will be structured in one separate entity in addition to Brezan Automaterialen, but will keep operating in one's own name. Staadegaard Automotive and Technische Centrale jointly have 34 business locations in the Netherlands. The integration process of Staadegaard Automotive and Technische Centrale will be easy due to the long-term and intensive cooperation with each other, in the area of amongst others ICT and sourcing. The acquisition entails an increasing purchaser strength for PartsPoint. For Staadegaard Automotive and Technische Centrale the acquisition is particularly motivated by considerations of scale ant the belief in a two-tier model in which integration takes place between importers and wholesalers.

HVG and EY Law Norway have assisted Norwegian Martens Shipping on the strategic cooperation with Dutch ABIS Shipping.

Description
Martens Shipping, a Norwegian shipping services provider for the shipping industry, and ABIS Shipping, a Dutch company that owns and exploits vessels, have set up a co-operation in respect of the exploitation of two vessels. The co-operation is structured through a joint ownership of the vessels. The general shipping experience of Martens and the experience of ABIS in relation to exploitation of vessels are complementary to each other, which makes this a valuable strategic transaction. The American listed Markel Ventures, Inc. acquires Tromp-Pol Baking Equipment B.V. and Den Boer Baking Systems B.V., active in development, manufacturing and sales of waffle equipment, handling equipment and ovens for bakeries worldwide.

HVG and EY TAS advise the shareholders of Tromp-Pol Baking Equipment B.V. and Den Boer Baking Systems B.V. in the sale to AMF/Tromp B.V., a subsidiary of the American listed company Markel Ventures, Inc. Markel Ventures, Inc. is active in the development, manufacturing and sales of waffle equipment, handling equipment and ovens for bakeries worldwide. Tromp-Pol Baking Equipment, Den Boer Baking Systems B.V. and AMF/Tromp B.V. have worked together for years in a strategic alliance. With this sale Tromp-Pol Baking Equipment B.V. en Den Boer Baking Systems B.V. jointed the Markel Bakery Group, which includes AMF Bakery Systems, Reading Bakery Systems and Tromp Group.

The European Candy Group (TECG), shareholder of Continental Candy Industries (CCI) takes over Kraepelien & Holm/Limecon (K&H) located in Oosterwolden and enlarges ist marketposition. HVG assisted Coöperative N.P.R.C. (Nederlandse Particuliere Rijnvaart-Centrale Coöperatie U.A.) in the acquisition of Overmeer Transport Group

Description
HVG has assisted NPRC, a private cooperative of 85 professional inland navigation operators, in the acquisition of the full service logistics provider for the waterway Overmeer. Overmeer is located in three countries: the Netherlands, Germany and France. Overmeer is a family company that transports dry cargo. As a result of the acquisition, NPRC increases its transport volume to eleven million tonnes of dry cargo per year. The merger forms the biggest transport company operating on the waterway of the Netherlands. HVG is traditionally experienced in the market for intermodal transport. HVG assists Amplifon with EUR 135 million bonds issue.

Description
HVG has assisted Ampliter N.V. with the issuance of bonds worth EUR 135 million. Ampliter N.V. is the parent company of Amplifon S.p.A. which is listed on the Italian stock exchange. Amplifon is worldwide market leader in the distribution and fitting of hearing aids and related services with a global sales of more than EUR 840 million in more than 20 countries. In the Netherlands, Amplifon is well known under the name Beter Horen, the market leader for hearing aids with more than 240 stores and service points. The bonds issue has taken place on the Vienna Stock Exchange whereby BNP Paribas and Deutsche Bank acted as joint bookrunners. HVG has acted as Dutch legal counsel on the Dutch law aspects of the financing and the securities.

Description
Together with a number of foreign law firms, HVG advises Mitsubishi Chemical Corporation in Japan on the acquisition of the Compounds Technologies business of Tessenderlo Chemie. The acquisition comprises five production, marketing and technology sites in France, Belgium, Poland and China. HVG in the Netherlands and in Belgium cooperate closely in advising on the Dutch and Belgian part of the transaction.

Through this acquisition Mitsubishi Chemical Corporation expands its market position in Europe.

Hoyer takes over De Rijke’s “Bulk Liquid” division in 6 countries

HVG assists International logistics service provider Hoyer in the acquisition of the Bulk Liquid division of logistics company De Rijke.

Description
The takeover resulted in a significant strengthening of Hoyer’s market position in European chemical logistics. Hoyer takes on all 240 employees of De Rijke’s Bulk Liquid division who are currently employed in Sweden, England, France, Italy, Germany and the Netherlands. In addition, Hoyer takes over 1,500 tanker containers, 130 truck tractors and 300 tanker trailers and chassis from De Rijke. Hoyer is a family enterprise that was founded over 60 years ago. In recent years, Hoyer has developed from a traditional transport company into a comprehensive bulk logistics provider.

Bankruptcy of TCN

J. Westerhof is appointed as one of the trustees of the TCN group.

Description
TCN is a large real estate developer and asset manager with a balance sheet total of approximately € 600 mio. Over the years TCN has redeveloped over 1 million sqm real estate in Europe and transformed many existing buildings and areas into comfortable, functional and safe environments. TCN has invented, created and managed many surprising places. The trustees are now working on the winding up of the various assets.

Groupe Canal+ acquires interest in Polish television station TVN

HVG assists Groupe Canal+ in acquiring interest in Polish television station TVN.

Description
On 30 November, Canal+ Group and TVN Group, Poland’s largest media company, finalized their strategic alliance to combine the Polish Pay TV business. The transaction had been signed on 19 December 2011 but required the Polish competition authority’s approval before the alliance could be implemented. At the same time, Canal+ has become a major shareholder in TVN Group. The transaction involved a deposit made by TVN of its enterprise “n” in CYFRA+ in exchange for 32% of the shares in the new Pay TV platform nc+. At the same time, Canal+ acquired 40% of the shares in the Dutch company N-Vision, indirect shareholder of 52% of the shares in TVN Group, against payment of €277 million to the other shareholder, ITI Group.

Synova invests in filter systems manufacturer Dahlman

HVG assists existing shareholders of Dahlman with the investment of new shareholder Synova.

Description
Dahlman Industrial Group B.V., manufacturer of filter systems for the petrochemical and process industry in Maassluis, welcomes a new shareholder. The American company Synova acquired a minority interest in Royal Dahlman in the Netherlands. The transaction is part of a strategic partnership entered into by both companies on 24 August. Dahlman wants to leverage this strategic partnership to strengthen its market position in the field of renewable energy.

TSR acquires remaining interest in HKS Scrap Metals

HVG provides advice in the acquisition by TSR Group of the shares held by Tata Steel in HKS Scrap Metals.

Description
TSR Group, a leading European steel and metal recycler, expands its interest in HKS Scrap Metals to 100% by acquiring Tata Steel’s 50% interest. This is the next successful step in the growth strategy pursued by TSR Group in order to strengthen its position, both from a strategic and operational point of view. Based in the Netherlands, scrap recylcer HKS Scrap Metals was the result of a joint venture between Hoogovens and Klöckner in 1993. HKS Scrap Metals has an annual turnover of approximately €400 million.

Production facility Nederlands Vaccin Instituut sold to Serum Institute for India

HVG provides the Ministry of Health with advice in the sale of the production facilities of the Nederlands Vaccin Instituut (NVI) to the Serum Institute for India (SII).

Description
NVI produces vaccines to protect against diseases including polio and diphtheria, as well as medication for the treatment of bladder cancer for the international market. SII is one of the world’s largest vaccine manufacturers and produces vaccines to prevent diseases including measles, diphtheria, tetanus and pertussis. SII sells its vaccines to 140 countries. On a global scale, one in every two children receive a vaccine that is produced by SII. For the sale of the shares in the production facilities of the Nederlands Vaccin Instituut (NVI), the Dutch State receives €32 million.

Spanish Aspro group takes over Recreation Park Linnaeushof

Spanish Aspro Ocio was founded in 1991 as an owner and operator of 41 indoor and outdoor water parks, aquariums, zoos and holiday resorts in eight countries in Europe: thirteen in Spain, nine in France, nine in England, five in Finland, one in Portugal, one in Switzerland, one in Belgium, and now also two in the Netherlands. In 2008, Aspro Ocio acquired the Delta Park Neeltje Jans in Zeeland in the Netherlands. Combined, these parks attract an annual total of over nine million visitors. Recreation Park Linnaeushof was founded in 1963 by the Grijpstra family. Boasting 350 rides and entertainment attractions, Linnaeushof developed into the largest amusement park in Europe, attracting an annual total of between 250,000 and 300,000 visitors.
